XXX株式会社(以下、「甲」と言う)とYYY株式会社(以下、「乙」と

言う)は、次の通り合意したので業務委託基本契約書(以下、「本契約」と言う)を締結する。

 

第1章 総則

(目的)

第1条 

甲は、甲及び甲の親会社たる日本法人である株式会社ZZZ(以下、「丙」と言う)が販売する冷凍食品(以下、「本件商品」と言う)の通関業務、保管、加工及び出荷に関する業務(以下、「本件業務」と言う)の委託を希望し、乙はこれを受託する。

 

(基本契約)

第2条 

本契約は、本件業務に関する基本的な詳細を定めるものであり、甲乙当事者は、個別契約上の本件業務の詳細に同意するものとする。

 

(個別契約)

第3条 

  1. 甲は、乙に対し、本件業務の種類、本件商品名、数量、代金、納期その他必要な詳細を含むが、それらに限定されない本件業務の詳細を、電磁的方法により送信、あるいは書面(ファクシミリ送信等)を送付するものとする。乙が、業務に関連した個別契約を、電磁的方法又は書面により承諾したとき、個別契約が確認されたと見なす。ただし、事前の書面により当事者間で明確に合意した場合以外は、当事者は個別契約に従うものとする。

 

   2. 本契約と個別契約に相違や矛盾がある場合は、個別契約が優先するも

       のとする。

 

第2章 委託業務

 

(商品の通関・デバンニング)

第4条 

  1. 乙は、甲及び甲の指定した履行補助者がタイ王国に輸入した本件商品を取り扱うために、個別契約に基づいて、当該商品の通関に必要な業務及びデバンニング業務を行う。​

Between: XXX Co., Ltd. (hereinafter referred to as the “Consignor”), established and existing  legitimately under the law of the Kingdom of Thailand, having its principal place of business at 5th Fl., ZEN World Tower, 4, 4/5 YYY Road, XXX, Bangkok 10000; and

AGREED TERMS:  

 

Chapter 1.  General Provisions 

 

Article 1. Scope and Purposes of the Agreement 

The Consignor consigns to the Consignee the services of customs clearance, storage, processing, and delivering (hereinafter referred to as the “Services”) of the frozen food (hereinafter referred to as the “Products”) sold by the Consignor or the Consignor’s parent company, ZZZ Co., Ltd., a Japanese corporation (hereinafter referred to as the “Parent Company”) and the Consignee accepts the consignment of the Services in full confidence and trust.  

 

Article 2. Basic Agreement 

The Agreement constitutes basic details related to the Services. The Parties shall agree on the details of the Services in each individual contract (hereinafter referred to as the “Individual Contract”).  

 

Article 3. Individual Contract 

1. The Consignor shall transmit detailed contents of the Services to be rendered including, but not limited to kind of the Service(s), names of the Products, quantity, costs, delivery dates, and other necessary details via electromagnetic device or in writing (such as by facsimile transmission). The Individual Contract shall be deemed to be confirmed when the Consignee’s acceptance of relevant Individual Contract via electromagnetic device or in writing. Both Parties shall obey the Individual Contract unless otherwise the Parties expressly agreed upon by prior written documents.

 

2. In the event that there is any difference or contradiction between the Agreement and the Individual Contract, the Individual Contract shall prevail.

  

Chapter 2.  Consignment Services 

 

Article 4. Customs Clearance of the Products and Unloading/Devanning 

1. The Consignee shall conduct necessary customs clearance services and unloading/devanning operations to handle the Products imported to the Kingdom of Thailand by the Consignor and the appointed auxiliary personnel, in accordance with the Individual Contract.

       Party in relation to the Disclosing Party’s business including, without

AGREEMENT TERMS

 

Obligation to Confidentiality by the Receiving Party

  1. The Receiving Party hereby covenants and agrees to hold, treat and maintain the Confidential Information in full confidence and trust. In particular, the Receiving Party shall not discuss with or show the Confidential Information to any third party unless the Disclosing Party’s prior written consent is otherwise given.

 

   2. The Receiving Party shall not make any copy or use the Confidential

        Information for any purpose, except for the purposes relating to the

        Disclosing Party or its operations which have been permitted to be

        provided or disclosed to the Receiving Party.

 

   3. The Receiving Party hereby covenants and agrees that the Receiving

       Party shall not, without the prior written consent of the Disclosing

       Party, directly or indirectly disclose the Confidential Information to any

       person other than to such persons whom the Disclosing Party has

       given prior written consent as the authorized recipients or unless the

       person who shall receive the Confidential Information agrees to

       execute and be bound by the terms of this Agreement.

         

   4. The Receiving Party shall hold and maintain the Confidential

       Information in strictest confidence for the sole and exclusive benefit 

       of the Disclosing Party. The Receiving Party shall carefully restrict

       access to the Confidential Information to other employees, 

       contractors, subcontractors, and any and all third parties as are

       reasonably required, and shall require those persons to sign

       nondisclosure restrictions equivalent to those found within this

       Agreement.

 

   5. The Receiving Party shall not, without the prior written approval of the

       Disclosing Party, use any and all of the Confidential Information for

       the Receiving Party's own benefit, and shall not publish, copy, or

       otherwise, disclose the Confidential Information to others, or permit           its use by others for their benefit or to their detriment. The Receiving

       Party shall return to the Disclosing Party any and all records, notes,             other written documents, printed issues, photographs, videos, disks,

       or memoranda, and all other materials containing all or any part of the

       Confidential Information whatsoever to the Disclosing Party, together

       with all copies thereof, and further agrees that the Receiving Party

       shall not retain the same or any part thereof in any form whatsoever.

 

Terms of this Agreement

The nondisclosure provisions of this Agreement shall survive until the termination of this Agreement, and the Receiving Party's duty to hold the Confidential Information in confidence shall continue in force after the termination of the Receiving Party’s employment, regardless of the specifics leading to termination.
